Terms of Service

1. Acceptance of Terms

By accessing or using the Ricca platform at usericca.xyz (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree, you must not use the Service.

These Terms constitute a legally binding agreement between you ("User") and Ricca ("we," "us," or "our").

2. Account Registration and Security

You must provide accurate, current, and complete information when creating an account and keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at team@usericca.xyz if you suspect unauthorised access or a security breach.

You may not share your account credentials with any third party. One account per individual; accounts are non-transferable unless explicitly agreed upon in writing. API keys and MCP access tokens generated within your account are subject to the same confidentiality obligation as your login credentials.

3. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

  • Upload files that contain malware, viruses, or other harmful code
  • Attempt to reverse-engineer, decompile, or extract the source code of the platform
  • Use the Service to infringe upon the intellectual property rights of any third party
  • Circumvent, disable, or interfere with security features of the platform
  • Use automated tools - including MCP clients, scripts, or AI agents - to scrape, crawl, or bulk-extract data from the Service without our prior written consent
  • Resell, sublicense, or otherwise commercialise the Service without authorisation
  • Upload data you do not have the right or authorisation to process
  • Use the MCP integration to expose Ricca data to unauthorised third parties or AI services outside your own account context

4. Intellectual Property

Your data is yours.You retain full ownership of all engineering documents, tag lists, P&IDs, instrument indices, asset registers, document registers, transmittals, and any other data you upload or create within the platform. By uploading content, you grant us a limited, non-exclusive licence to process and store that content solely to provide the Service to you.

Our platform is ours. The Ricca software, underlying algorithms, parser logic, ISA 5.1 validation engine, Data Hub, Asset Registry, Document Register, Transmittals system, Portals, Workspaces, MCP server, user interface, branding, and all associated intellectual property remain the exclusive property of Ricca. Nothing in these Terms transfers any ownership of our IP to you.

You confirm that you hold all necessary rights, licences, and permissions to upload and process the engineering documents you bring into the platform. We are not responsible for any intellectual property disputes between you and your clients, contractors, or third parties.

5. Platform Output and Professional Responsibility

Ricca is a tool designed to assist professional engineers - it does not replace professional engineering judgement. The platform performs automated extraction, ISA 5.1 validation, instrument index generation, asset register compilation, document register management, and transmittal tracking, but all outputs must be independently verified by a qualified engineer before use in any project deliverable, submission, or stamped document.

AI-assisted parsing, tag extraction, and datasheet analysis are probabilistic processes. Results may contain errors, omissions, or misclassifications. You are solely responsible for reviewing, validating, and approving all platform outputs before use in any formal engineering context.

To the maximum extent permitted by applicable law, we are not liable for engineering errors, project delays, non-conformance, regulatory violations, or any direct, indirect, incidental, or consequential damages arising from reliance on platform outputs.

6. MCP Integration and Third-Party AI Connections

Ricca provides a Model Context Protocol (MCP) server that allows you to connect external AI assistants - including Claude, ChatGPT, Gemini, Cursor, and other MCP-compatible tools - to your Ricca data. By enabling an MCP connection, you authorise that AI assistant to query your instrument tags, documents, assets, and project data on your behalf.

You are responsible for the AI assistants you connect and for any queries they issue against your data. Ricca is not responsible for the outputs, recommendations, or actions of third-party AI assistants operating via MCP. All queries are subject to the same row-level security and access controls as your standard account.

Do not connect MCP clients to accounts or projects you are not authorised to access. MCP tokens must be treated as sensitive credentials and rotated promptly if compromised.

7. Subscriptions, Billing, and Cancellation

Paid plans are billed in advance on a monthly or annual cycle as selected at checkout. All fees are exclusive of applicable taxes, which will be added where required by law.

You may cancel your subscription at any time from your account dashboard or by contacting us at team@usericca.xyz. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not provide refunds for unused portions of a billing period except where required by applicable consumer protection law.

We reserve the right to modify pricing with at least 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

8. Suspension and Termination

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if your use poses a security or legal risk. We will endeavour to notify you where feasible unless prohibited by law.

You may terminate your account at any time. Upon termination, your right to use the Service ceases and we will delete your data in accordance with our Privacy Policy. Any active MCP tokens and Portal links associated with your account will be revoked immediately upon termination.

Provisions that by their nature should survive termination - including intellectual property, limitation of liability, and dispute resolution - will continue to apply after termination.

9. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by law, our aggregate liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the total fees paid by you to Ricca in the three months immediately preceding the claim, or (b) USD $100.

We are not liable for any indirect, incidental, consequential, punitive, or special damages, including lost profits or data loss, even if we have been advised of the possibility of such damages.

10. Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice within the platform at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the competent courts of the jurisdiction in which Ricca operates, as applicable.
